Optimising Tax on Business Acquisition

Client Overview

A corporate client acquired a game reserve operation in South Africa and wished to structure optimally. The acquisition involved both local and international entities, creating a complex tax environment requiring strategic structuring.

Specialist Services Used:

Goals

1. Identify relevant South African tax incentives to reduce taxable income and optimise financial efficiency.
2. Structure the acquisition within the regulatory framework of South African tax laws while optimising for tax and other considerations.
3. Leverage conservation-related tax benefits to enhance liquidity and long-term financial sustainability.

Our Recommendations

01.

1. Utilising Section 37C of the South African Income Tax Act 58 of 1962 – A Biodiversity Management Agreement was established to formalise conservation efforts, enabling deductions for ranger salaries, security, and habitat restoration under Section 18A.

02.

2. Claiming Section 37D Deductions – The land was declared a nature reserve under the National Environmental Management: Protected Areas Act (NEMPAA), allowing for a 4% straight-line deduction on land value over 25 years.

03.

3. Restructuring the Operating Model – Consolidated operating and property-holding entities to maximise tax deductions and offset expenses against taxable income, eliminating inefficiencies.

Outcomes (To Date)

By integrating conservation tax incentives, the client achieved a substantial reduction in taxable income, improving cash flow while ensuring compliance with South African tax laws. The new structure positions the business for future growth and further conservation investment, demonstrating how financial strategy and environmental responsibility can create long-term value.
