But if there\u2019s nothing real going on in those entities, or not enough real stuff, the whole thing could collapse from a tax perspective.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">That\u2019s the idea behind substance over form is a principle that says tax authorities look at what\u2019s actually happening, not just what the documents say. If your \u201chead office\u201d in Country X is really just a postbox with one part-time director who rubber-stamps documents, don\u2019t expect the taxman to be impressed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Substance means real decision-making, real people, and real business activity. That could be:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Board meetings in the jurisdiction.<\/li>\n\n\n\n<li>Local directors who actually understand and control the business.<\/li>\n\n\n\n<li>Bank accounts in the country, operated from there.<\/li>\n\n\n\n<li>Risk-taking and commercial activity happening locally.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Why is this important? Because substance isn\u2019t just about looking legitimate, it\u2019s also the key to unlocking other tax benefits:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Controlled Foreign Company (CFC) exemptions: Many CFC rules won\u2019t apply if the foreign company is doing real business with real substance.<\/li>\n\n\n\n<li>Transfer pricing: If you say a company earns certain profits, you need to show it has the people and functions to justify them.<\/li>\n\n\n\n<li>DTA benefits: Countries are increasingly inserting \u201climitation on benefits\u201d and \u201cprincipal purpose\u201d clauses to ensure only entities with genuine substance can get treaty advantages.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Without substance, the tax benefits you thought you had can vanish overnight.
